Read these disclosures before depositing assets or signing a transaction.

Technical tool, not a legal will

Will & Key is a software interface to an autonomous smart contract. It is not a lawyer, fiduciary, custodian, executor, tax adviser, investment adviser, or substitute for a legally valid estate plan. Laws and tax treatment vary. Obtain qualified advice for your jurisdiction.

Self-custody and immutable-contract risk

You control transaction signing and are responsible for wallet security, beneficiary and payout addresses, check-in timing, horizon settings, and gas. The vault contract (version 2, deployed on Base on 28 September 2026) is non-upgradeable. A defect, compromised key, wrong address, network failure, token-issuer action or lost beneficiary key can cause permanent loss. A vault can hold only ETH or one of the four listed tokens (USDC, WETH, cbBTC and EURC), and the list can never change. The issuers of USDC and EURC (Circle) and of cbBTC (Coinbase) can pause or blocklist their tokens, or change their code, which could freeze every vault in that token at once. Version 2 contains the contract fixes from a preliminary audit of version 1 by AI auditing agents, performed at the project's request and not independent; a few findings were kept by design and are listed as known limits. Version 2 itself has been reviewed only by AI agents and has no completed independent third-party audit. Use only value you can afford to lose.

No alerts

Will & Key sends no alerts or reminders of any kind. Nobody will notify you if your timer expires or a claim is filed on your vault, and nobody notifies your beneficiary when a vault becomes claimable. Checking the vault is your responsibility and your beneficiary's.

Fees

The current global claim-settlement fee is 0.5%, capped at 1% by the deployed bytecode. Each vault's fee can never exceed the global rate in force when its creation transaction was mined. The administrator can cut the global rate at once, but a raise takes effect only 30 days after it is announced on chain. When a claim starts, its rate is capped at the lower of the vault's ceiling and the global rate at that moment; a lower rate applies at settlement only if it is still in force then. No fee is taken if no fee recipient is in force when the claim settles, and a recipient set after a period with none takes effect only 30 days later. The details are on the mechanism page. Blockchain gas fees are separate and go to the network, not Will & Key. Verify current contract state before signing.

The retired version 1

The first vault contract, 0xC821849A1D74959753450409b594b23eCE7fEe2f, is retired. It no longer accepts new vaults: its creation was paused on chain (transaction 0x195ddeb6ec795a327c430e772ab5239a10b4a682f172b10fefd41cfb2af647c7), and this website no longer offers it. It cannot be changed, and the preliminary audit's findings still apply to it. Do not send funds to it. Anyone owed a credit there can still withdraw it directly on the contract, for example through Basescan.

Paid reminders are disabled

Will & Key is not accepting new paid reminder subscriptions through this website, and the reminder service is not running. The older reminder billing contract remains on Base, but sales on it were also switched off on chain on 26 September 2026: its price was set to the maximum, so every payment to it reverts, and only the administrator could reverse that (transaction 0xf3485b1b4ec0f887838a2eec5181c3815e68913bc23b68570c3b635693a56cca). A direct call to it is not an accepted service order. Do not send funds to it. The vault itself does not depend on the reminder service.

Existing reminder payments and refunds

The retired on-chain billing contract has no automatic refund function. If you previously paid for reminders and believe a service obligation or refund is outstanding, contact reminders@willandkey.com with the wallet address and transaction hash. Any refund or remedy will be handled off-chain where required by the applicable agreement or law; never send a seed phrase or private key.

No warranty

The website and contracts are provided on an "as available" basis to the extent permitted by law. Availability, uninterrupted RPC access, accurate third-party token metadata, or fitness for a particular estate plan is not guaranteed. Nothing here excludes rights or liabilities that cannot legally be excluded.

Source and audit status

The deployed contract addresses are published on the home page, and their bytecode fingerprints on the security page. The project repository includes source, tests, deployment records, the internal review report, the evidence for the preliminary audit and the record of the version 2 fix reviews. None of these reviews is independent. An independent third-party audit remains a release requirement for recommending use with material value.
